Responsibilities

The successful candidate should have the following experience:

• Solid working knowledge of corporate law (OBCA and CBCA) and Ontario securities legislation
• Solid working knowledge of intellectual property laws and software development/licensing/distribution
• Basic corporate transactions including Ontario and Federal incorporations, amendments, amalgamations, dissolutions and revivals
• Solid working knowledge of general partnerships formation
• Employee ownership arrangements
• Corporate reorganizations (including Section 85 and 86 rollovers)
• M&A transactions
• Private equity/angel/VC financings
• Resolving shareholder disputes/corporate divorces

 Qualifications

• 3-6 years of experience as a Corporate Lawyer since call to bar.
• Broad corporate law and experience with angel/VC financings, private M&A and IT licensing/ distributions transactions
